West Penn Drops Highmark from Lawsuit; Details of Acquisition Revealed

Pittsburgh's West Penn Allegheny Health System has asked to drop its 2009 lawsuit against Highmark just as Highmark finalizes details in its agreement to buy the cash-strapped system, according to Pittsburgh Tribune-Review reports.

West Penn filed a motion yesterday asking U.S. District Court Judge Arthur Schwab to approve a new complaint that accuses only UPMC of causing West Penn Allegheny's financial decline over the last decade, according to this report. The original suit had accused Highmark and UPMC of conspiring to put West Penn out of business.

Under Highmark's proposed $475 million acquisition of West Penn, the emergency department at West Penn Hospital in Bloomfield (Pa.) would reopen early next year. Keith Ghezzi, MD, would also be named interim CEO of the new system, according to this Pittsburgh Tribune-Review report.

Officials from the two organizations signed a long-delayed definitive agreement Monday afternoon that spells out the terms and conditions of the arrangement. The deal must now be approved by state regulators.
