Dallas-based Christus Health has signed an agreement with Coomeva Cooperativa Medica in Colombia, under which Christus will assume partial ownership of several Coomeva subsidiaries.
Christus Health began discussions with Coomeva, based in Cali, Colombia, two years ago. Coomeva has assets of approximately $2.6 billion.
Under the agreement, Christus Health will become a partial owner of the following of Coomeva's companies.
- An equal ownership stake in and management of Sinergia, a healthcare provider network that serves members from Coomeva's health insurance plans, as well as many other plans. Also included are two wholly-owned hospitals, two partially-owned hospitals, the largest home care company in Colombia and 150 ambulatory facilities.
- The healthcare related operations and management of Coomeva Servicios Administrativos, a centralized services and administrative company within Coomeva. CSA includes services like human resources, group purchasing, payroll, tax services, and a large contact center.
- A minority ownership stake in Coomeva EPS, a health insurance company that contracts with the Colombian government.
- A minority ownership stake in Coomeva Medicine Prepagada, a private health insurance company that contracts with individuals and employers to provide private health insurance nationwide.
Definitive agreements are set to be signed in early 2016.
