HCA has reached a definitive agreement to acquire the Colorado Health Foundation's shares of its Denver-based joint venture, HCA-HealthOne, according to HCA's recent security filing.
The Nashville, Tenn.-based hospital operator will purchase the foundation's remaining ownership interest — approximately 40 percent — for $1.45 billion, according to the filing. The transaction is expected to close in the third quarter of 2011.
HealthONE is the largest healthcare system in the metro Denver area, and started off as a 50/50 JV between HCA and the Colorado Health Foundation in 1995.
