Cincinnati-based Bon Secours Mercy Health plans to acquire Fauquier Health in Warrenton, Va., increasing its hospital footprint to 48 across six states: Ohio, Virginia, Florida, Kentucky, Maryland and South Carolina.

Brentwood, Tenn.-based Lifepoint Health has signed an asset purchase agreement to transition ownership of Fauquier Health to HealthSpan Partners — a subsidiary of Bon Secours Mercy Health — which will make the hospital a network partner of the health system, according to an Aug. 21 statement shared with Becker’s.

The transaction is expected to close this fall, pending regulatory approvals. Financial terms were not disclosed.

Upon completion, Fauquier Health, a 97-bed acute care hospital, is expected to transition to a nonprofit model and continue operating as a community-based acute care hospital. Bon Secours Mercy Health currently operates 11 hospitals in Virginia, a spokesperson for the health system confirmed to Becker’s.

Through the network partnership model, Fauquier Health will gain access to the resources and expertise of Bon Secours Mercy Health while maintaining a local focus on patient care, according to the health system.

Qualified Fauquier Health employees are expected to remain in place following the transition. The hospital will continue normal operations during the transaction process, including emergency care, medical imaging, women’s health and intensive care, as well as robotic-assisted surgery, cardiac catheterization, orthopedics and spine care.

Bon Secours Mercy Health currently operates 47 hospitals and more than 1,200 care sites across the U.S., Ireland and the Philippines. The Catholic health ministry has about 60,000 employees, including 3,000 providers, and records more than 14 million patient encounters annually.

“While Lifepoint believes this change is in the best interests of employees, physicians, patients, and the community, it was a difficult decision to make,” the health system said in a statement to Becker’s. “Lifepoint is proud of all we have accomplished together to provide excellent care close to home in Warrenton and is confident that Fauquier Health is well positioned for its next chapter.”
